IwaGO Terms and Conditions of Use

By using the IwaGO platform (website, mobile app, and related services), you agree to these Terms and Conditions. These Terms apply to all Users, Vendors, and Delivery Partners.

1. Services Offered

IwaGO provides a platform connecting users ("Users") with local vendors ("Vendors") for:

  • Food and beverage delivery

  • Grocery shopping

  • Pharmacy items

  • Retail goods

  • Thrift store items

  • Parcel delivery

IwaGO also connects Vendors with independent delivery partners ("Delivery Partners").

2. Account Registration

  • You must be at least 18 years old to create an IwaGO account.

  • You are responsible for your account's security and all activity under it.

  • Provide accurate and up-to-date information.

3. User Terms

  • Ordering: IwaGO displays Vendor offerings; we do not guarantee availability.

  • Order Acceptance: Vendors have the discretion to accept or reject orders.

  • Delivery: Delivery times are estimates. IwaGO is not liable for delays beyond our reasonable control.

  • Delivery Issues: Contact IwaGO support for delivery issues.

4. Vendor Terms

  • Eligibility: You must possess all licenses and permits to operate your business in compliance with Japanese law.

  • Responsibilities: Accurately describe your products/services, including ingredients, allergens, and origin where applicable. Comply with all laws and regulations, including food safety standards (HACCP). Ensure the quality and safety of goods sold. Fulfill orders promptly. Handle customer inquiries appropriately.

  • Pricing: You set prices, including consumption tax (currently 10% in Japan). IwaGO may charge a commission.

  • Payments: IwaGO will remit payments according to the agreed-upon schedule, less any applicable commissions or fees. You are responsible for reporting and paying all applicable taxes.

5. Delivery Partner Terms

  • Eligibility: Possess a valid driver's license (Japanese or international permit where applicable), insurance, and a suitable vehicle. You may be subject to a background check.

  • Responsibilities: Accept or reject delivery requests. Deliver orders promptly and safely, following all traffic laws and regulations. Handle orders with care to prevent damage or spoilage. Communicate effectively with customers and IwaGO support.

  • Payment: You will be paid according to the agreed-upon rate per delivery.

  • Independent Contractor: You are an independent contractor, not an employee of IwaGO. You are responsible for your own taxes and social insurance.

6. General Terms

  • Pricing and Payments: Vendors set prices. You authorize IwaGO to charge your payment method. You are responsible for all charges, including delivery fees, taxes, and tips.

  • Cancellations: Cancellation policies vary by Vendor. Refunds are assessed on a case-by-case basis in accordance with Japanese consumer protection laws.

  • User Conduct: Do not use IwaGO for illegal purposes. Do not harm, threaten, or harass others. Do not infringe on intellectual property rights.

  • Disclaimers: IwaGO provides the platform "as is" and disclaims all warranties, express or implied.

  • Limitation of Liability: To the maximum extent permitted by Japanese law, IwaGO is not liable for any indirect, incidental, special, consequential, or punitive damages. IwaGO's liability shall not exceed the amount of fees paid by you to IwaGO in the six (6) months preceding the event giving rise to the liability.

  • Intellectual Property: IwaGO owns all rights to the platform, logos, and content. You may not use our intellectual property without permission.

  • Indemnification: You agree to indemnify and hold IwaGO harmless from any claims, losses, or damages arising out of your use of the platform, your violation of these Terms, or your violation of any rights of another.

  • Termination: IwaGO may terminate your account for violations of these Terms, suspected fraud, or for any other reason at our sole discretion.

  • Governing Law: These Terms are governed by the laws of Japan, without regard to its conflict of law principles.

  • Dispute Resolution: Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiations. If negotiations fail, the dispute shall be subject to the exclusive jurisdiction of the Tokyo District Court.

7. Privacy Policy

IwaGO collects, uses, and discloses your personal information as described in our Privacy Policy, which is incorporated into these Terms. We comply with the Act on the Protection of Personal Information (APPI) in Japan.

8. Amendments to Terms

IwaGO may update these Terms at any time. Continued use of the platform constitutes acceptance of the revised Terms.
